Will FI Review & Comment on my Deal?

Increasingly, we're hearing from entrepreneurs that have received interest from an outside investor or are just about to approach investors and they want us to "take a look" at their deal. They're not necessarily looking for funding from us, but just want an informed opinion as to whether the terms on the table are fair, or customary. Or maybe they've never raised money before and just want to understand the process.

Depending on the circumstances and amount of effort it looks to be, we charge a flat fee to review and opine on deals.

We’re not lawyers and won’t be offering legal advice, just feedback based on what we’ve seen as investors and entrepreneurs.

Here's how it works:

1. Contact us to discuss. If we agree to work together we'll send you a simple contract.
2. Send us everything you have: pitch deck, business plan, term sheet, financials, whatever. Don't create anything new, just send us what you have.
3. We'll send you a questionnaire, with things to think about like "what are you giving, and what are you expecting, from this potential investor relationship?", and "what happens if reality turns out differently than planned?" and the like.
4. We'll compare your materials to our expectations and to deals we've seen in the past, and set up a time to personally review your deal.
5. We think about fundraising in five steps: Good Fit --> Good Business --> Business for Good --> Good Plan --> Good Deal --> Good Raise. When we get together we'll share our impressions of your deal in each of those high-level categories, as well as answer questions you may have about best practices for business planning, deal structuring, and fund-raising.
6. It will be up to you to take notes at the meeting: we won't be providing you with a written report... If we did this would have to be waaaay more expensive, and we want to keep it affordable.
7. If there are quick, easy follow-up steps we'll be happy to do them. If it looks to be more involved, we'll suggest you consider our - or someone else's - Advisory Services.
